Are you talking both used, and original 5D (i.e. not MkII)?
5D has a FF sensor and brighter VF, but its "brains" may not be on par with 40D's - afterall, it's very old body. No liveview, slower AF: the list goes on and on.
Also, depending on your current lens lineup you may find EF-S ones (which 5D cannot use, yet 40D can) more attractive finanically.
It's really apples to oranges, your personal/shooting preferences are the primary judges here on what's important and what not...
For weddings a 40d plus 17-55 2.8 plus 100 2.0 plus 50 1.4 is a great setup.
A 5D plus 24-70 2.8 plus 135 2.0 plus 85 1.2 is considerably better, but much more expensive.
Also the high speed mode on the 40d is much faster, which is handy for confetti.
Yeah I currently own the 17-55 and 40d that I purchased 3 months ago and I now want to sell it to purchase the 5d which I want because of the full frame and like the way the color comes out - but wanted to know people who have used both cameras opinion.
I kinda think that the color reproduction will be the same with the 40D, with some tweaks to your settings. I will honestly tell you to keep the 40D and the 17-55, and if anything use them as your eventual backups.

I used this for quite a long time until I finally saved up enough to buy a 5D Mark II and had to sell my 17-55 for compatibility reasons. That was a sad day... but I love my full frame fun now. I still have the 40D and use it mostly as my 2nd / backup camera... eventually I'm going to go all full frame, but that's a pricey road.

Full Frame for me
I have a 20d as backup but my main two are a 5d and 5d2. There is a huge difference in my quality - especially low light which is where the 5d's shine!
I just realized if I save another say $700 bucks I can get me a mark II so in saying that shouldn't waste my $$ on a 5d aye?
If you can save up for and afford the 5D Mark II I would totally do that. It is amazing at the higher ISO's. That's one of the main reasons I barely touch my 40D anymore, because I can just do so much more w/ the 5D2. It is a brilliant camera.

I have a 5d main and a 40d backup. I like the 40d but it is no match for the 5d. The 40d is newer with more features and some upgraded electronics but when it comes to high iso the 5d is the better body. The 5d mkII gives you 2 more stops of light but the noise is a little heavier than the original 5d on a per-pixel comparison. Of course with almost twice the pixels you are shrinking each pixel for same size display/print so the net effect is less visible noise.
